THE CORPORATE CHARTER AND CONSTITUTION OF GRATIS UNIVERSITY
PREAMBLE & FOUNDATION DECREE
WHEREAS, knowledge, innovation, and professional learning are the ultimate catalysts for global social impact and human advancement; and whereas, traditional structures of higher learning have frequently burdened scholars with excessive cost, regulatory rigidities, and bureaucratic limitations that stifle pure innovation;KNOW ALL MEN BY THESE PRESENTS, That BLMIS Ltd, a corporate entity duly established and operating under corporate law, does hereby ordain, constitute, and establish a global, online-first, non-traditional, tuition-free, and autonomous research institution of higher learning, to be forever known by the name and style of GRATIS UNIVERSITY (hereinafter referred to as "the University").
The University shall operate globally as an independent corporate academic initiative anchored upon the foundational, unyielding pillar of Total Academic Freedom. It shall advance its mission through specialized constituent bodies—principally the Orapuh Institute and the Gratis Institute for Innovation and Enterprise (GIIE)—and it shall be governed in perpetuity according to the Articles, Statutes, and Provisions set forth herein.
ARTICLE I: CORPORATE IDENTITY, PRIVILEGES, & LEGAL STATUS
Section 1.01: Name and Perpetual Succession
The name of the corporation shall be Gratis University. By this name, it shall have perpetual succession and shall be capable in law to sue and be sued, plead and be impleaded, defend and be defended in all courts of law and equity, in all jurisdictions worldwide.
Section 2.02: Corporate Seal
The University shall have and use a common Corporate Seal for the sealing of its diplomas, certificates, contracts, and official acts. The Seal shall bear the name of the University and its core motto celebrating innovation, freedom, and impact. The Custody of the Seal shall reside permanently with the University Registrar.
Section 3.03: Jurisdiction-Agnostic and Online-First Operations
The University is founded as an online-first global institution. It is not tethered to, nor constrained by, the geographic or statutory boundaries of any single municipality or state. The University may establish servers, administrative outposts, digital campuses, and physical learning labs anywhere in the world. It shall execute its operations through specialized corporate vehicles—including, but not limited to, Orapuh, Inc. and GIIE Technologies & Ventures Ltd—to maintain institutional agility and legal compliance across varied global jurisdictions.
ARTICLE II: THE DOCTRINE OF TOTAL ACADEMIC FREEDOM & NON-ACCREDITATION
Section 2.01: Absolute Freedom of Inquiry
The University is founded on the principle of Total Academic Freedom. No faculty member, research fellow, scholar, or student shall be censored, penalized, or restricted by the University or its Governing Council for any research findings, academic publications, teaching methodologies, or ideological viewpoints. The search for truth and disruptive innovation shall remain unchecked by external political, social, or statutory orthodoxies.
Section 2.02: Voluntary Non-Accreditation and Independence
To preserve Total Academic Freedom and ensure rapid curricular agility, the University explicitly operates as a voluntary unaccredited institution. The University consciously bypasses traditional state-sponsored, bureaucratic accreditation regimes. The value of the University’s credentials relies exclusively on the rigorous, peer-reviewed execution of its programs, the market capability of its graduates, and its corporate validation within the BLMIS Ltd innovation ecosystem.
ARTICLE III: THE GOVERNING COUNCIL (THE SUPREME TRUST)
Section 3.01: Establishment and Supreme Authority
The ultimate operational, academic, and policy-making authority of Gratis University shall be vested in a lean, elite board known as the Governing Council (GC). The Council shall act as the legal trustees of the University’s academic mission.
Section 3.02: Permanent Five-Member Composition
To ensure an agile, corporate-style governance structure capable of rapid adaptation, the Governing Council shall permanently consist of exactly five (5) members, holding distinct ecosystem portfolios:
- The Council Chair: An external, independent leader of high repute in academia, industry, or law, appointed by the Board of BLMIS Ltd to provide objective oversight.
- The Vice-Chancellor: The executive head and chief academic officer of the University, responsible for systemic execution and institutional trajectory.
- The University Registrar: The chief administrative officer, custodian of records, and ex-officio Recording Secretary of the Council.
- The Representative of the Orapuh Institute: A designated senior academic or executive representing the specific interests of oral health, public health, and dental business.
- The Representative of the Gratis Institute for Innovation and Enterprise (GIIE): A designated senior leader representing technology transfer, AI healthcare solutions, and digital venture acceleration.
Section 3.03: Quorum and Synchronous Assembly
A strict quorum of three (3) members shall be required to transact any formal business of the University. Meetings may occur in person or via synchronous, secure digital communication networks. The Council shall meet at least four (4) times per academic year.
Section 3.04: Two-Tier Voting and Deadlock Resolution
Each member of the Council shall possess one (1) equal vote. Resolutions shall be resolved as follows:
- Tier 1: Ordinary Academic & Operational Matters: Routine updates to curricula, operational policies, faculty approvals, and student admission frameworks shall be decided by a simple majority vote. In the event of a tie, the Council Chair shall cast a second, tie-breaking vote.
- Tier 2: Extraordinary Corporate & Structural Matters: Decisions regarding modifications to this Charter, the dissolution or merger of constituent institutes, or long-term financial exposures shall require a Supermajority of four (4) out of five (5) votes. If an unbreakable deadlock occurs on an issue directly threatening the stability of the ecosystem, the matter shall be automatically escalated to the Board of Directors of BLMIS Ltd for a final, binding corporate determination.
ARTICLE IV: CONSTITUENT INSTITUTES & AUTONOMY
Section 4.01: The Orapuh Institute
The Orapuh Institute is established as the specialized medical, dental, and public health arm of the University. It shall enjoy operational autonomy over its specialized three-month professional development courses and its intensive one-year postgraduate and postdoctoral fellowship tracks. It shall operate in tandem with its localized entities, including Orapuh, Inc. (The Gambia) and the Orapuh Concepts Ltd (OCL, Nigeria).
Section 4.02: The Gratis Institute for Innovation and Enterprise (GIIE)
The GIIE is established as the corporate, technology, and entrepreneurial development arm of the University. Operating via GIIE Technologies & Ventures Ltd (Nigeria), it shall focus directly on teledentistry, health-tech architectures, digital business models, AI alignment, and venture incubation, bridging pure academic research with the commercial interests of the BLMIS Ltd ecosystem.
ARTICLE V: FACULTY, APPOINTMENTS, & TENURE OF DISRUPTIVE SCHOLARSHIP
Section 5.01: Classification of Faculty
The Faculty of Gratis University shall consist of Professors, Associate Professors, Adjunct Mentors, and Research Fellows. Given the unaccredited and non-traditional nature of the institution, appointments shall be evaluated based on verified domain mastery, entrepreneurial output, and research contribution, rather than purely conventional academic pedigree.
Section 5.02: The College of Scholars
The University shall maintain an elite global circle known as the Orapuh College of Scholars. This body will oversee high-level research tracks, guide doctoral-equivalent fellows, and curate the peer-reviewed publications of the university ecosystem.
ARTICLE VI: ADMISSIONS, TUITION-FREE STATUS, & CREDENTIALING
Section 6.01: Universal Access and Tuition-Free Covenant
The University shall remain fundamentally tuition-free for its core digital programs. No student shall be denied access to learning based on financial standing. The University shall fund its underlying tech architecture through corporate endowments from BLMIS Ltd, research monetization, technology transfer licensing, and voluntary philanthropy.
Section 6.02: Academic Standards & Dismissal
While access is free, matriculation and completion requirements shall remain elite and rigorous. The President & Vice-Chancellor and the individual Institute Heads retain the absolute right to dismiss any student or fellow who fails to meet the stringent benchmarks of professional excellence, academic integrity, or original research production.
Section 6.03: Certification and Diploma Issuance
All certificates, digital badges, and fellowships issued by the University shall be signed by the President & Vice-Chancellor, the Registrar, and the respective Institute Representative. They shall bear the Corporate Seal of Gratis University and explicit wording denoting its character as a global, independent research university operating under the Total Academic Freedom framework.
ARTICLE VII: FINANCES, ENDOWMENTS, & SUSTAINABILITY
Section 7.01: Fiscal Alignment with BLMIS Ltd
The financial sustainability of the University shall be anchored within the financial management systems of BLMIS Ltd. The University may accept corporate grants, establish an independent endowment fund, receive donations, and generate revenue through specialized venture creations engineered by GIIE.
Section 7.02: Auditing and Integrity
The financial records of the University shall be audited annually by a certified financial professional appointed by the Board of BLMIS Ltd. The report shall be delivered directly to the Governing Council to ensure fiscal integrity and resource optimization.
ARTICLE VIII: THE ACADEMIC AND QUALITY ASSURANCE BOARD (AQAB)
Section 8.01: Mandate and Jurisdictional Scope
The Academic and Quality Assurance Board (AQAB) shall serve as the primary governing body for all academic, peer-review, and educational quality matters within the University. It holds immediate responsibility for curriculum development, establishing academic policy, managing faculty affairs, and maintaining the university's rigorous standards of scholarship across all specialized institutes.
Section 8.02: Executive Leadership and Governance Structure
The AQAB shall be chaired directly by the President & Vice-Chancellor. In their dual capacity as the Chief Executive and Acacemic Officer of the University, the President & Vice-Chancellor shall serve as the ultimate authority leading the university's daily academic vision, operations, and global engagement. No intermediary executive office shall exist between the President & Vice-Chancellor and the operations of this Board.
Section 8.03: Council Alignment
All major curricular architectures, fellowship tracks, or structural academic policies passed by the AQAB remain subject to the ultimate strategic oversight, veto power, and review of the 5-member Governing Council.
ARTICLE IX: THE UNIVERSITY REGISTRY
Section 9.01: Central Administrative Mandate
The Registry is established as the central operational engine room, compliance hub, and data store of the University. It is tasked with supporting the institution's academic mission through the delivery of secure, reliable, and cutting-edge digital administrative services.
Section 9.02: Specific Administrative Operations
The Registry shall possess exclusive administrative oversight over:
- The secure tracking, validation, and maintenance of all global student records.
- The execution of student admissions, matriculations, and structural graduations.
- The official verification and generation of transcripts, badges, and digital award records.
Section 9.03: Leadership of the Registry
The Registry shall be headed by the University Registrar, who shall report directly to the President & Vice-Chancellor and ensure total policy compliance, administrative continuity, and seamless operational alignment with the corporate systems of BLMIS Ltd.
ARTICLE X: THE LEARNER COMMUNITY COUNCIL (LCC)
Section 10.01: Institutional Purpose and Student Voice
The Learner Community Council (LCC) is established as a vital organ of university governance to represent the global, digital student body. The LCC guarantees that student perspectives, cultural insights, and feedback are actively valued in the evolution of the university ecosystem.
Section 10.02: Core Responsibilities
The LCC shall operate under the direct oversight of the Registry to advance:
- Student Advocacy: Serving as a formal channel of communication between global learners and university leadership.
- Community Building: Fostering peer-to-peer collaboration, mentorship networks, and digital engagement platforms.
- Ecosystem Events: Organizing global webinars, hackathons, and collaborative forums that advance the university’s broader social impact objectives.
ARTICLE XI: AMENDMENTS AND SOVEREIGN DECREE
Section 11.01: Amending the Constitution
This Charter is the supreme constitution of Gratis University. It may not be casually altered. Any amendment to this document must be drafted by the Governing Council, passed by a unanimous vote of the Council members present under strict quorum, and receive formal, written assent from the Chairman of the Board of BLMIS Ltd.
OPERATIONAL BYLAWS OF THE EXECUTIVE OFFICERS
These Bylaws supplement the Charter of Gratis University and define the operational, legal, and systemic mandates of the executive management team.
ARTICLE I: THE OFFICE OF THE PRESIDENT & VICE-CHANCELLOR
Section 1.01: Dual Executive and Academic Mandate
The President & Vice-Chancellor (hereinafter referred to as "the Executive Head") is the chief executive, visionary officer, and senior academic leader of Gratis University. The Executive Head is responsible for aligning the university's research outputs with the broader innovation ecosystem of BLMIS Ltd.
Section 1.02: Specific Powers and Responsibilities
The President & Vice-Chancellor shall possess the following structural mandates:
- Ecosystem Integration: Champion strategic intersections between the Orapuh Institute, the Gratis Institute for Innovation and Enterprise (GIIE), and external industry stakeholders.
- Scholarly Appointment: Nominate distinguished domain experts to the Orapuh College of Scholars and recommend adjunct mentors to the Governing Council for rapid onboarding.
- Curriculum Execution: Supervise the deployment of outcome-driven, three-month professional certificates and intensive one-year fellowship tracks.
- Defense of Liberty: Act as the primary institutional shield protecting Total Academic Freedom, ensuring no scholar or faculty member is subject to censorship or ideological restriction.
- Fiscal Accountability: Collaborate with the Board of BLMIS Ltd to manage the university’s tuition-free operational budget, venture capitalization projects, and resource deployment.
ARTICLE II: THE OFFICE OF THE UNIVERSITY REGISTRAR
Section 2.01: Custodial and Secretarial Mandate
The University Registrar (hereinafter referred to as "the Registrar") is the chief administrative officer, legal custodian of academic records, and the permanent Recording Secretary to the Governing Council.
Section 2.02: Specific Powers and Responsibilities
The Registrar shall possess the following structural mandates:
- Secretariat of the Trust: Manage the logistics, agendas, and formal minutes of the 5-member Governing Council. The Registrar tracks voting thresholds across ordinary and extraordinary corporate matters.
- Credential Verification: Hold absolute custody of the Corporate Seal of Gratis University. The Registrar verifies the authenticity of all digital badges, certificates, and fellowships.
- Admissions & Matriculation: Oversee the global, online-first student registry. The Registrar enforces elite, outcome-driven graduation metrics while preserving the university’s tuition-free covenant.
- Ancillary Corporate Compliance: Ensure that the university's specialized operational vehicles—such as Orapuh, Inc. and GIIE Technologies & Ventures Ltd—maintain seamless data synchronization and administrative alignment.
